By accessing or using the WhatsUpNinja platform, website, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our Services.
2. Description of Services
WhatsUpNinja provides an enterprise-grade Communications Platform as a Service (CPaaS) that enables businesses to integrate messaging channels including WhatsApp Business API, RCS, SMS, Voice, and Ads into their workflows through APIs, SDKs, and a web dashboard.
3. Account Registration
To use certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Acceptable Use
You agree not to use the Services to:
- Send unsolicited messages (spam) or violate anti-spam laws
- Transmit any unlawful, harmful, threatening, abusive, or defamatory content
- Violate any applicable local, national, or international laws or regulations
- Infringe upon the intellectual property rights of any third party
- Attempt to gain unauthorized access to other systems or networks
- Interfere with or disrupt the integrity or performance of the Services
5. Pricing & Payment
Use of the Services is subject to our current pricing plans available at our Pricing page. All fees are exclusive of taxes unless stated otherwise. You agree to pay all applicable fees and taxes in a timely manner. WhatsUpNinja reserves the right to modify pricing with 30 days' prior notice.
6. Intellectual Property
All content, trademarks, logos, and intellectual property related to WhatsUpNinja and the Services are owned by or licensed to WhatsUpNinja. You may not copy, modify, distribute, or create derivative works based on our intellectual property without prior written consent.
7. Data & Privacy
Your use of the Services is also governed by our Privacy Policy. By using our Services, you consent to the collection and use of your information as described in the Privacy Policy.
8. Service Availability & SLA
WhatsUpNinja strives to maintain 99.9% uptime for all Services. However, we do not guarantee uninterrupted or error-free operation. Scheduled maintenance windows will be communicated in advance. Service Level Agreements (SLAs) for enterprise customers are defined in separate agreements.
9. Limitation of Liability
To the fullest extent permitted by law, WhatsUpNinja shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to your use of the Services.
10. Termination
Either party may terminate the use of Services at any time. WhatsUpNinja reserves the right to suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Services ceases immediately, and any outstanding fees become due.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Delhi, India.
12. Changes to Terms
WhatsUpNinja reserves the right to update these Terms at any time. We will notify users of significant changes via email or through the platform. Continued use of the Services after changes constitute acceptance of the revised Terms.
